7 licenses, permits and registrations, in the order to get them

Every row checked against its agency’s page; the latest on Oct 17, 2026.

  1. Set up the business

    • Articles of organization (LLC) or a fictitious business name

An LLC keeps your personal assets apart from the business and is what landlords and lenders expect on a lease, but California charges $800 a year for it from the first year. Anyone trading under a name other than their own legal name or the entity’s registered name files the fictitious business name in the county where the business sits.

    • Employer Identification Number (EIN)

Needed to hire, to open a business bank account and for the state registrations. Issued at once online.

  2. Register for tax

    • Seller’s permit

Required before the first taxable sale, including food and drink served on the premises. Register online and the permit can issue the same day. The combined sales tax rate depends on the city and district, so check the address in the CDTFA rate lookup.

    • City business license or business tax registration

Nearly every California city requires a license or tax certificate for a business at an address inside it, and many check zoning for the address before issuing one. Apply before opening; Los Angeles issues a temporary certificate at once and mails the permanent one.

  3. Approve the space

    • Certificate of occupancy and building permits for the build-out

Confirm the zoning allows your use at the address before signing, then plan for the occupancy approval: a change of use (a store becoming a restaurant, a warehouse becoming a studio) means plans, build-out to code, accessibility upgrades and inspections. Ask the building department what the last approved use of the space was.

    • AED, trained staff and a written emergency plan

Every membership health studio keeps an automated external defibrillator, trains employees to use it, keeps a written emergency plan and maintenance records, and has a trained employee on the premises during staffed hours. Membership contracts also follow the Civil Code’s health studio rules on cancellation and term.

  4. Before the first hire

    • Employer payroll tax account

Register within 15 days of paying more than $100 in wages in a calendar quarter; the account covers unemployment insurance, employment training tax, state disability insurance and personal income tax withholding. Report each new hire within 20 days.
